Terms of Service

Welcome to Shuchit Infotek. By accessing our website www.shuchitinfotek.com ("Site") or engaging our professional services, you (the "Client") agree to be bound by these Terms of Service ("Terms").

1. MSME Status & Statutory Rights

Shuchit Infotek is a registered Micro, Small, and Medium Enterprise (MSME) under the MSMED Act, 2006 of India.

• Payment Protection: As per Section 15 of the MSMED Act, the Client is legally obligated to make payments within the timeline agreed upon, which shall not exceed 45 days from the date of acceptance of services.
• Interest on Delayed Payment: In accordance with Section 16 of the Act, any delay in payment beyond the stipulated 45 days shall attract compound interest with monthly rests at three times the Bank Rate notified by the Reserve Bank of India.

2. Services & Scope

We provide IT and digital solutions, including website design, SEO, and social media management. The specific "Statement of Work" (SOW) for each project will be defined in individual digital or physical agreements. Any work outside the original SOW will be billed as a separate "Change Request."

3. Client Obligations & Indemnity

• Content Warranty: The Client warrants that all text, images, and data provided to Shuchit Infotek are owned by the Client or used with permission. The Client shall indemnify and hold Shuchit Infotek harmless from any third-party legal claims regarding copyright infringement or data violations related to provided materials.
• Timely Feedback: Project timelines depend on Client responsiveness. Delays exceeding 7 business days in feedback may result in the project being moved to "On-Hold" status, potentially incurring a reactivation fee.

4. Financial Terms

• Pre-payment Policy: All services for International (Foreign) Clients are strictly on a 100% pre-paid basis.
• Late Fees: For domestic clients not covered by the 45-day MSME interest rule, a late fee of 2% per month applies.
• No Refunds: Payments are non-refundable once the project phase has commenced, as these fees cover allocated labor and digital resources.

5. Intellectual Property (IP)

• Retained Ownership: Shuchit Infotek retains ownership of all proprietary code, frameworks, and preliminary designs.
• Transfer of Rights: Upon full and final payment, Shuchit Infotek grants the Client a perpetual, non-exclusive license to use the final deliverables. We reserve the right to display the work in our professional portfolio.

6. Limitation of Liability & Digital Risk

• Performance Disclaimer: Shuchit Infotek does not guarantee specific rankings or "viral" results, as these are dependent on third-party algorithms (Google, Meta, etc.).
• Cyber Security: While we implement industry-standard security, Shuchit Infotek is not liable for data breaches, hacking, or loss of data caused by third-party hosting providers or Client-side security negligence.
• Liability Cap: To the maximum extent permitted by law, our total liability for any claim is limited to the actual amount paid by the Client for the specific service in question.

7. Force Majeure

Shuchit Infotek shall not be liable for failure to perform due to "Acts of God," internet outages, government restrictions, or cyber-attacks that are beyond our reasonable control.

8. Confidentiality

Both parties agree to protect "Confidential Information" (trade secrets, pricing, business strategies) and not disclose it to any third party for a period of three (3) years following the termination of the agreement.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of India.

• Jurisdiction: The courts in Ghaziabad, Uttar Pradesh, shall have exclusive jurisdiction.
• Arbitration: In the event of a dispute, both parties agree to first attempt mediation. If unresolved, disputes may be referred to the MSME Commissionerate/Council for reconciliation/arbitration as per the MSMED Act.

10. Amendments

Shuchit Infotek reserves the right to update these terms at any time. Continued use of our services after updates are posted constitutes your acceptance of the new terms.
